Terms of Use

1. Provider and Acceptance

Taltio is provided by Nordlate Oy ("Nordlate", "we", "us", or "our").

By downloading, accessing, or using Taltio, you agree to these Terms of Use. If you do not agree, do not use the app. Apple's Standard Licensed Application End User License Agreement also applies and is incorporated into these terms. These terms supplement that agreement.

2. Eligibility

You must be legally capable of entering into these terms. Taltio is not directed to children under 13. If you are under the age of legal majority where you live, you may use Taltio only with the permission and supervision of a parent or legal guardian. The parent or guardian is responsible for the minor's use of the app.

3. Taltio Service

Taltio is a media library tool for AI-generated images and videos. It organizes media from folders you choose on your Mac and can generate images locally using separately downloaded models or through an external server you configure. Local generation requires a compatible Mac, and performance depends on it.

Taltio, including local generation, is currently provided free of charge. If we introduce optional paid features in the future, they will be identified in the app and offered under terms and pricing shown before purchase. Features may evolve as we maintain and improve Taltio. We may add, change, or discontinue features, provided that we do not limit your mandatory consumer rights.

4. License and Permitted Use

Subject to these terms and the Apple Standard EULA, Nordlate grants you a personal, limited, non-exclusive, non-transferable, revocable license to use Taltio on Apple devices that you own or control, as permitted by App Store rules, for personal or internal business use.

You must not:

• Use Taltio unlawfully or to infringe another person's rights or privacy.
• Use Taltio to generate sexual or exploitative content involving minors, intimate imagery of a person without their consent, or deceptive or fraudulent depictions of real people.
• Use Taltio's output for unlawful automated decisions that affect people's legal rights.
• Index, edit, or generate content that you do not have the right to hold or create.
• Copy, distribute, sell, sublicense, reverse engineer, or attempt to extract Taltio's source code except where applicable law expressly permits it. This does not restrict your rights under the open-source licences of separately licensed components, such as models and runtime libraries.
• Interfere with the app, its security, or its access to the folders and servers you have configured.
• Use automated or deceptive means to abuse the service or bypass access restrictions.

5. Your Files and Library

You retain ownership of your image and video files and of everything you enter into Taltio. You grant Nordlate only the rights necessary to operate the app and provide requested functionality. Your files stay in the folders you choose, and the index, tags, edits, and generation history that Taltio creates are stored on your Mac as described in our Privacy Policy.

Taltio reads and writes to the folders you open. At your direction it can rename or move files and save generated outputs. You are responsible for the legality, accuracy, and appropriateness of your content, for the folders you choose to open, and for keeping backups of files and library data important to you. Taltio does not synchronize your library to the cloud, so it exists only on the Mac where you created it.

6. Generation and Third-Party Servers

Local generation uses model files that you download separately. They are made available by their authors and distributors under their own licences, which are separate from these terms; nothing in these terms changes the rights those licences give you. Taltio shows each model's licence and attribution information before you download it, and you must comply with the licence and preserve any notices and attribution it requires.

If you use an external generation server, Taltio sends your prompts and settings to the address you enter. You are responsible for that server: for having the right to use it, for its security, for any terms and costs its operator imposes, and for the licences of the models it runs.

You are responsible for the prompts you write and the outputs you generate, including compliance with applicable law and respect for the rights of others. Nordlate does not host inference, publish content, or review or moderate prompts or generated content, and does not receive or store them on its own servers. Section 4 applies to everything you generate. Models can produce inaccurate or unexpected output, and, to the extent permitted by law, Nordlate is not responsible for what a model or a server you configured produces.

7. Metadata and App Output

Metadata that other tools write into your files varies and changes over time, so what Taltio extracts or shows may be incomplete or inaccurate. Verify anything that matters before relying on it.

Generated files can contain your prompts and other metadata, and sharing a file shares them. Information identifying an image as AI-generated can be lost if it is later edited or re-encoded. You remain responsible for any disclosure or labelling that applies when you share what you generate.

8. Third-Party Services

Taltio depends on services provided by Apple, including macOS and the Mac App Store, can download model files from Hugging Face or other hosts, and can connect to an external generation server operated by you or a third party. Your use of those services is also subject to their terms and privacy policies. Nordlate does not control and is not responsible for the availability or operation of third-party services, except to the extent required by applicable law.

9. Intellectual Property

Taltio, including its software, design, text, graphics, trademarks, and other content supplied by Nordlate, is owned by Nordlate or its licensors and is protected by intellectual-property laws. No rights are granted except for the limited right to use the app under these terms and the Apple Standard EULA. Nordlate claims no rights in your files, prompts, or generated content.

10. Availability and Updates

We aim to keep Taltio available and reliable but do not guarantee uninterrupted or error-free operation. We may release updates needed for security, compatibility, legal compliance, or functionality. The app may stop working correctly if you do not install required updates or use a supported version of macOS.

11. Disclaimers and Liability

To the extent permitted by applicable law, Taltio is provided "as is" and "as available". We do not promise that extracted metadata or other app output is complete or accurate, or that file operations, indexing, or generation will produce a particular result.

Nordlate is responsible for loss or damage that is a reasonably foreseeable result of our breach of these terms or failure to use reasonable care. To the extent permitted by law, we are not responsible for indirect or unforeseeable loss, loss of files or library data for which you kept no backup, content produced by a server you configured, or the failure of services outside our reasonable control.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from intentional misconduct or gross negligence, or your mandatory rights under applicable consumer law.

12. Suspension and Termination

You may stop using Taltio at any time. We may suspend or terminate access where reasonably necessary because of a material breach of these terms, unlawful use, security risk, or legal requirement. Where reasonable, we will give notice and an opportunity to remedy the issue. Termination does not remove obligations or rights that by their nature continue after termination.

13. Governing Law and Disputes

These terms are governed by Finnish law. If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of your country of residence, and you may bring a claim in any court available to you under applicable consumer law.

Please contact us first so we can try to resolve a concern. Consumers in Finland may also contact the Finnish Competition and Consumer Authority's Consumer Advisory Services and may refer a dispute to the Finnish Consumer Disputes Board.

14. Changes to These Terms

We may update these terms to reflect changes to Taltio, legal requirements, or our business. We will post the revised terms here and update the effective date. If a change materially affects your rights, we will provide reasonable additional notice where required. Your continued use after the change takes effect constitutes acceptance only to the extent permitted by law.
